Delaney Michels LLC, Group Trips (Europe)

PLEASE READ THE FOLLOWING TERMS CAREFULLY:

Effective Date: January 8, 2026
1. Parties
These Terms and Conditions (“Terms”) form a legally binding agreement between:
Delaney Michels LLC, a Colorado limited liability company (“Organizer,” “we,” “us”), and
The person booking and/or participating in the trip (“Participant,” “you”).
If you book on behalf of others, you represent you have authority to bind each participant, and you agree to provide these Terms to them.
2. What You Are Purchasing
You are purchasing a spot on a hosted group trip organized by Organizer (the “Trip”). The Trip may include lodging, group meals or meal coordination, ground transportation coordination, cultural activities, and group logistics.
2.1 Climbing Instruction and Guiding
All climbing instruction, guiding, technical supervision, safety systems, and crag access are provided by Rockbusters Ltd. and/or its certified, licensed guides and permitted instructors (“Guides”). Organizer is not a licensed guide and does not provide technical instruction.
Organizer’s role is limited to trip hosting and community support (e.g., group coordination, communication, documenting the trip), and Organizer does not control day-to-day guiding decisions made by Guides.
3. Booking, Contract Formation, and Payment
A binding contract is formed when you:
 (a) complete an online booking, and
 (b) pay either a deposit or the full Trip price.
3.1 Deposit Option
  • A $500 deposit may be offered to reserve a spot.
  • Deposit is refundable until 60 days before the Trip start date (see Section 6).
  • Final payment is due 45 days before the Trip start date.
3.2 Final Payment Deadline
If final payment is not received by the deadline:
  • Organizer may cancel your reservation and release your spot, and
  • Your refund (if any) will be governed by Section 6 (typically deposit becomes non-refundable after 60 days).
Organizer may (but is not required to) offer a short grace period at Organizer’s discretion.
3.3 Pricing and Inclusions
Trip inclusions/exclusions will be described on the Trip sales page, itinerary, or checkout page, which are incorporated into these Terms by reference. If there is a conflict, these Terms control unless Organizer explicitly states otherwise in writing.
4. Eligibility and Participant Responsibilities
4.1 Age Requirement
Trips are 18+ only. No exceptions.
4.2 Skill and Fitness Requirements
Climbing and outdoor activities are physically demanding and may be hazardous. You represent that you have the physical fitness, skills, and experience appropriate for the Trip as described (including any recommended grades/experience such as “5.10+ recommended”), and you will follow all safety rules and Guide instructions.
4.3 Travel Documents and Compliance
You are responsible for:
  • Passport validity, visas/entry requirements, and compliance with local laws
  • Medical requirements (including vaccinations)
  • Arriving on time at meeting points
Flights are your responsibility unless explicitly included in writing.
5. Insurance (Strongly Recommended)
5.1 Organizer Insurance
Organizer intends to maintain general liability insurance appropriate for hosted trips. Coverage is not guaranteed for every scenario.
5.2 Guide / Operator Insurance
Guides/Operators generally maintain their own permits and insurance. Organizer may request confirmation, but Organizer does not guarantee the scope of any third-party coverage.
5.3 Participant Insurance (Recommended)
Organizer strongly recommends that you purchase travel insurance and adventure sports coverage, including medical coverage and emergency evacuation. Organizer may provide an option to purchase insurance through the Trip page or a recommended vendor.
Organizer makes no representations about any insurance policy’s coverage or reimbursement. You are solely responsible for selecting coverage that meets your needs.
6. Cancellation, Refunds, and Credits
All cancellation deadlines are based on the Trip start date, in Organizer’s local time.
6.1 Participant Cancellation (Standard Policy)
If you cancel:
  • More than 60 days before Trip start: full refund (including deposit).
  • 60 to 46 days before Trip start: deposit becomes non-refundable; any additional amounts paid beyond the deposit may be refunded at Organizer’s discretion minus non-recoverable costs (if applicable).
  • 45 days or less before Trip start: no refunds.
Organizer may allow a transfer to another Trip or a substitute participant at Organizer’s discretion, subject to Guides’ approval and administrative fees (if any). Substitute participants must sign all required waivers.
6.2 Organizer Cancellation (Participant Choice)
If Organizer cancels the Trip for reasons other than Participant breach, Participant may choose:
  • A full refund of amounts paid to Organizer, or
  • A full credit toward a future Trip (valid for [12] months).
Organizer is not responsible for participant-incurred costs (e.g., flights) unless explicitly agreed in writing.
6.3 Force Majeure
Organizer and/or Guides may cancel, postpone, modify, or re-route the Trip due to events beyond reasonable control, including weather, natural disasters, acts of government, strikes, political unrest, public health emergencies, closures, or safety concerns (“Force Majeure”).
In Force Majeure situations:
  • Organizer will make reasonable efforts to offer alternatives (reschedule, substitute itinerary, partial services).
  • Refunds may be limited to amounts Organizer can recover from third parties and/or may be offered as credits, depending on costs already incurred.
  • Participant insurance may cover some non-refundable expenses depending on the policy; Organizer does not guarantee coverage.
7. Required Waivers and Deadlines
7.1 Organizer Waiver (Required)
Participation requires signing Organizer’s Liability Waiver & Assumption of Risk (Document 2). Organizer will send it via DocuSign (or similar).
You must sign no later than 30 days before Trip start (or earlier if Organizer specifies). Failure to sign by the deadline is a material breach and may result in removal from the Trip without refund.
7.2 Third-Party Waivers (Required)
You may also be required to sign waivers from Guides, lodging providers, transportation providers, gyms, or other vendors. Refusal or failure to sign required third-party waivers may result in removal without refund.
8. Safety Rules, Conduct, and Removal
8.1 Follow Guide Instructions
You must follow all safety rules and instructions from Guides. No exceptions.
8.2 Prohibited Conduct
Harassment, discrimination, violence, threats, theft, property damage, illegal drug use, intoxication before climbing or during guided activities, or behavior that compromises safety is prohibited.
8.3 Removal Without Refund
Organizer and/or Guides may remove any Participant from some or all Trip activities (or the Trip entirely) for safety, conduct, or non-compliance. Removal may be without refund and may require Participant to arrange their own travel/lodging thereafter.
9. Changes to Itinerary
Itineraries are subject to change due to weather, local conditions, access issues, group safety, and operational needs. Organizer and Guides may adjust schedules, routes, climbing areas, lodging assignments, and activities.
10. Limitation of Liability
To the maximum extent permitted by law:
  • Organizer is not liable for acts, omissions, negligence, or misconduct of third parties (including Guides, lodging, transportation, venues, or other vendors).
  • Organizer is not liable for delays, cancellations, injuries, losses, theft, property damage, or missed connections.
  • Organizer’s total liability, if any, will not exceed the amount you paid Organizer for the Trip.
Some jurisdictions do not allow certain limitations; in that case, this section applies to the maximum extent permitted.
11. Indemnification
You agree to indemnify and hold harmless Organizer, its members, managers, employees, contractors, and agents from claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of:
  • Your participation in the Trip
  • Your breach of these Terms or any waiver
  • Your violation of law
  • Your acts or omissions
12. Dispute Resolution: Binding Arbitration (Colorado)
Any dispute arising out of or relating to these Terms, the Trip, or your participation will be resolved by binding arbitration administered by AAA or JAMS (Organizer’s election) under its consumer rules.
  • Location: Denver, Colorado (or remote/virtual at Organizer’s election)
  • Governing law: Colorado law, without regard to conflict-of-law rules
  • Class action waiver: Disputes must be brought individually; you waive the right to participate in class or representative actions, to the extent permitted by law
Either party may seek temporary injunctive relief in court to protect rights pending arbitration.
13. Privacy
Organizer may collect contact details and trip-related information to operate the Trip. Organizer will not sell your personal data. Organizer may share necessary information with Guides and vendors to provide services.
14. General Provisions
  • Severability: If any provision is unenforceable, the rest remains effective.
  • No waiver: Failure to enforce any term is not a waiver.
  • Entire agreement: These Terms + the Trip page details + signed waivers are the entire agreement.
  • Electronic acceptance: Checking a box, typing your name, or e-signing is valid and binding.
  • Assignment: Organizer may assign these Terms to a successor; Participants may not assign without written consent.
